**Job Title: Transactional Legal Secretary**

**Job Responsibilities:**
- Provide comprehensive administrative support to attorneys and paralegals specializing in Corporate and Securities, and Real Estate law.
- Draft, revise, proofread, and redline legal documents with meticulous attention to detail.
- Facilitate entity formation (such as corporations and LLCs) and manage general corporate governance tasks.
- Compose and prepare various materials, including correspondence, minutes, real estate and finance documents, and general forms.
- Handle correspondence with clients and various government agencies, ensuring timely and accurate communication.
- File documents with relevant authorities, including the Secretary of State, County Recorder, Board of Equalization, Internal Revenue Service, FinCEN, and SEC and State Securities agencies.
- Track certified mailings and overnight deliveries to ensure timely receipt.
- Prepare engagement letters, conflict waivers, run conflicts reports, and submit new matter openings.
- Maintain attorney calendars, monitor important deadlines, and ensure timely completion of tasks.
- Plan, schedule, and coordinate all conference calls and meetings, including client interactions.
- Perform a range of administrative support functions, such as scanning documents into the document management system, emailing documents to clients, maintaining and updating electronic and physical files, preparing and submitting check requests, processing invoices, and scheduling conference rooms.
**Qualifications:**
- A minimum of three years' experience as a Legal Secretary with transactional experience in corporate law, commercial and business transactions, securities, and real estate.
- Familiarity with federal and state securities filings, including Reg D and state securities exemption filings.
- Strong proficiency in document management systems and digital filing.
- Excellent knowledge of Microsoft Outlook, Word, DocuSign, and Excel.
- Ability to maintain the highest level of confidentiality.
- Superior organizational skills and attention to detail.
- Excellent oral and written communication skills.
- Strong interpersonal skills, with the ability to interact effectively with clients, vendors, and coworkers.
- Proven ability to balance competing and changing priorities.
- Capable of working independently and as part of a team.
- Diligent in meeting deadlines and completing assigned tasks.
